Terms of Service

1. Acceptance of Terms & Services

By purchasing a care plan, one-time optimization service, or engaging in a white-label partnership with AsirWeb, you automatically agree to these Terms of Service. These terms constitute a legally binding agreement between you ("the Client" or "the Agency") and AsirWeb.

2. Scope of Services & Exclusions

AsirWeb provides WordPress maintenance, security monitoring, edge network configuration, and performance optimization.

• Included Services: Core and plugin updates, malware scanning, firewall implementation, automated backups, and performance monitoring as defined by your specific plan tier.
• Exclusions: Unless expressly stated in an Enterprise agreement, our services do not include custom theme development, graphic design, content writing, SEO marketing, or the resolution of pre-existing broken code.
• The "Rogue Client" Clause: If the Client or unauthorized third parties install unvetted plugins, alter core PHP code, or modify server configurations without consulting AsirWeb, any resulting site failure will require troubleshooting billed at our standard hourly development rate.

3. Third-Party Infrastructure & Integrations

AsirWeb utilizes industry-leading third-party infrastructure (including but not limited to Cloudflare, ManageWP, Wordfence, and Make.com) to deliver our services. AsirWeb is not legally liable for downtime, data loss, or security breaches directly resulting from catastrophic global outages, vulnerabilities, or failures originating from these third-party providers.

4. Client Responsibilities

The Client agrees to provide timely and complete administrative access to their WordPress dashboard, hosting environment, and DNS registrar to allow AsirWeb to perform the contracted duties. The Client is solely responsible for purchasing and renewing premium licenses for any commercial themes or plugins used on their website.

5. Limitation of Liability

Under no circumstances shall AsirWeb, its engineers, or its partners be held liable for indirect, incidental, consequential, or special damages. This includes, but is not limited to, lost profits, lost revenue, lost data, or business interruption resulting from a compromised website, server downtime, or a failed e-commerce transaction. Our total aggregate liability for any claim arising from these terms shall be strictly limited to the amount actually paid by the Client to AsirWeb in the three (3) months preceding the incident giving rise to the liability.

6. Payments, Pauses & Termination

Maintenance and Care Plans are billed on a recurring monthly basis. AsirWeb reserves the right to suspend monitoring, WAF protection, and maintenance services if an invoice remains unpaid for more than 7 days. Either party may cancel the recurring agreement with a 14-day written notice to allow for secure offboarding and access removal.

7. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Coimbatore, Tamil Nadu, India.
